The Annual General Meeting 2025 of Daimler Truck Holding AG took place on May 27, 2025 as a virtual General Meeting without the physical presence of the shareholders or their proxies (with the exception of proxies appointed by the Company). The shareholders voted on the agenda items listed in the convocation.

Voting results

The shareholders approved all resolutions proposed by the management with a clear majority. The actions of the members of the Board of Management and the Supervisory Board in the 2024 financial year were ratified by individual vote with a large majority. The share capital was represented by 69.82%.

Dividend announcement

At the Annual General Meeting, it was proposed to distribute a total of €1.5 billion to shareholders from Daimler Truck Holding AG's distributable profit for the 2024 financial year: €1.90 per share (2023: €1.90). This proposal was adopted by the shareholders.

Authorization to acquire and use treasury shares

The Annual General Meeting further resolved to authorize the Board of Management to acquire and use treasury shares, including using derivatives, with the approval of the Supervisory Board.

A solid 2024 financial year and a strong first quarter in uncertain times

The 2024 financial year was a challenging year for Daimler Truck, in which a solid net profit was achieved despite a challenging market situation, thus demonstrating the company's economic performance.

Daimler Truck sold 460,409 commercial vehicles worldwide in 2024, 12% less than in the prior-year period (526,053 units). Unit sales of battery-electric trucks and buses increased significantly by 17% to 4,035 units (2023: 3,443). Group revenue declined slightly by 3% to €54.1 billion (2023: €55.9 billion). Adjusted EBIT decreased by 15% to €4,667 million (2023: €5,489 million). The adjusted return on sales for the Industrial Business was 8.9% in 2024 (2023: 9.9%). Driven by a strong fourth quarter, free cash flow of the Industrial Business increased by 12% to €3,152 million in 2024 (2023: €2,811 million).

In a first quarter marked by growing macroeconomic uncertainties, the company delivered strong overall results.

The Supervisory Board has initiated a new era with the generational change and is convinced that the management of Daimler Truck, with its global team, has the right topics in focus. The entire team is committed to prudently transforming the commercial vehicle industry and fully realizing the company’s financial potential in the medium term.
