Leinfelden-Echterdingen – The Daimler Truck Group (“Daimler Truck”) today completed the integration of Mitsubishi Fuso Truck and Bus Corporation (”Mitsubishi Fuso”) into the newly established holding company ARCHION Corporation (“ARCHION”). ARCHION has been listed on the Tokyo Stock Exchange Prime Market as of today, April 1, 2026, and begins business operations, integrating Mitsubishi Fuso and Hino Motors Ltd. (“Hino”), subsidiary of Toyota Motor Corporation (“Toyota”). ARCHION as the holding company owns 100% of the shares of both Hino and Mitsubishi Fuso. Daimler Truck and Toyota are each planning to retain approx. 25% ownership stake in ARCHION and to remain long-term strategic shareholders.
ARCHION aims to become a new leading commercial vehicle company in Asia by combining the strengths built up over decades by both Mitsubishi Fuso and Hino. The new Group starts with a structure designed to consolidate development, procurement, production and logistics. Karl Deppen takes office as President & CEO (Representative Director) of ARCHION and ended his mandates on the Daimler Truck Board of Management effective March 31, 2026.

Major strategic milestone
The integration of Mitsubishi Fuso and Hino and creation of ARCHION, a new Japanese commercial vehicle powerhouse, is serving all partners’ purposes. For Daimler Truck, it is an important step to capitalize on its strategic pillar to unlock full potential. Daimler Truck is determined to increase long-term efficiency while strengthening the focus on heavy-duty commercial vehicles. Daimler Truck and its partners establish a structure that allows both companies to align key functions more closely and systematically remove operational overlap. ARCHION will maximize the extensive production and sales infrastructure cultivated over many years by Hino and Mitsubishi Fuso, combined with the strong competitive advantages created through collaboration with Daimler Truck and Toyota, to optimize development, procurement, and production. Furthermore, it will advance collaboration in state-of-the-art future technologies such as fuel cells and autonomous driving, accelerating the creation of synergies by combining the strengths of each brand.
Transaction implications for Daimler Truck
Today’s closing of the transaction simultaneously involves the deconsolidation of Mitsubishi Fuso from Daimler Truck and the inclusion of the investment in ARCHION using the equity method. The resulting effects on earnings will be allocated to discontinued operations. Conversely, the cash flows accruing to Daimler Truck will be allocated to continuing operations and will have a positive impact on the free cash flow of the Industrial Business. Daimler Truck expects to generate a total cash inflow between €1.5 billion to €2.0 billion from the integration and plans to reduce its shareholding to approx. 25%. In due time after closing, Daimler Truck is expecting the free float to reach more than 35%, which is an important pre-requisite for the prime market listing in Japan.
The former Trucks Asia segment of Daimler Truck is reported as discontinued operation for Q1 2026. Daimler Truck’s focus is therefore placed on continuing operations, both in internal management and consequently in external reporting. An outlook of discontinued operations for the 2026 financial year is omitted.
Daimler Truck in Asia
Daimler Truck continues to operate in Asia through its Mercedes-Benz and BharatBenz brands. Sales, service, and after-sales operations vary by country across the different markets in Asia. With the integration of the FUSO brand into ARCHION, new distribution partners have emerged in certain markets where, until now, a single Daimler Truck subsidiary had jointly distributed the FUSO and Mercedes-Benz brands.
