Equal Participation of Women and Men in Executive Positions

December 01, 2021 - The German "Act on the Equal Participation of Women and Men in Executive Positions in both the Private and the Public Sector" applies to listed companies or those subject to co-determination. In accordance with the legal requirements, the newly founded Daimler Truck Holding AG will report its target figures for the proportion of women on its Supervisory Board and Board of Management, as well as at the two levels below, while also specifying a deadline for their achievement in the annual report 2021. Daimler Truck AG publishes its targets and deadlines below.

Proportion of women in management positions at Daimler Truck AG

The German Stock Corporation Act stipulates that the Supervisory Board of Daimler Truck AG shall determine targets for the proportion of women on the Supervisory Board and the Board of Management and deadlines for their achievement. For its part, the Board of Management of Daimler Truck AG must set such targets and deadlines for the two management levels subordinate to it.

In fulfillment of this legal obligation, on December 10, 2019 the Supervisory Board of Daimler Truck AG had set a target of 25 % for the proportion of women with regard to its own composition, a figure in line with the status quo existing at the time the resolution was adopted, and set December 31, 2020 as the deadline for achieving it. As of December 31, 2020, the proportion of women on the Supervisory Board of Daimler Truck AG was 25 %.

By resolution dated December 2, 2020, the Supervisory Board has now set a target of 30 % for the proportion of women on the Supervisory Board and a deadline of December 31, 2025.

With the proportion of women on the Board of Management at 0 %, the Supervisory Board of Daimler Truck AG, in its resolution of December 10, 2019, had set a target for the proportion of women on the Board of Management of Daimler Truck AG of 0 % and a deadline of December 31, 2020. As of December 31, 2020, there were no women on the seven-member Board of Management of Daimler Truck AG; the proportion of women on the Board of Management was therefore 0 % at that date.

By resolution of December 2, 2020, the Supervisory Board has now set a target of 14 % for the proportion of women on the Board of Management of Daimler Truck AG and a deadline of December 31, 2025. Effective February 1, 2021, Karin Rådström became the first woman to be appointed to the Board of Management of Daimler Truck AG.

Based on a proportion of women of 9.1 % at the first management level and 4.8 % at the second management level below the Board of Management at the time of the resolution on November 11, 2019, the Board of Management of Daimler Truck AG had set targets for the proportion of women of 9.1 % at the first management level and of 4.8 % at the second management level, as well as a deadline for achieving these targets of December 31, 2020. Setting the targets at the level of the respective status quo was justified by the shortness of the first deadline. This short first deadline was deemed appropriate as a means of achieving synchronization of deadlines within the Daimler Group.

As of December 31, 2020, the proportion of women at the first management level below the Board of Management was 7.7 %, due to a temporary reorganization and a doubly occupied position, and 6.6 % at the second management level below the Board of Management.

By resolution of November 20, 2020, the Board of Management has now set a target of 15 % for the proportion of women at both the first and second management levels below the Board of Management and a deadline for achieving this of December 31, 2025.
