Equal Participation of Women and Men in Executive Positions

March 24, 2022 - The German "Act on the Equal Participation of Women and Men in Management Positions in the Private and Public Sectors" applies to companies listed on the stock exchange or those subject to co-determination. In accordance with the legal requirements, Daimler Truck Holding AG reported its target figures for the proportion of women on its Supervisory Board and Board of Management, as well as at the two senior management levels below, while also specifying a deadline for their achievement in the annual report 2021. Daimler Truck AG is disclosing its targets and deadlines below.

Proportion of women in management positions at Daimler Truck AG

The German Stock Corporation Act (AktG) stipulates that the Supervisory Board of Daimler Truck AG shall determine target figures for the proportion of women on the Supervisory Board and the Board of Management and deadlines for their achievement. For its part, the Board of Management of Daimler Truck AG must set such target figures and deadlines for the two senior management levels subordinate to it.

In fulfillment of this legal obligation, on December 02, 2020 the Supervisory Board of Daimler Truck AG has adopted a resolution with regard to its own composition and set a target for the proportion of women of 30 % and a deadline of December 31, 2025 for achieving this goal. As of December 31, 2021, the proportion of women on the Supervisory Board of Daimler Truck AG was 25 %.

By resolution of December 2, 2020, the Supervisory Board also set a target of 14 % for the proportion of women on the Board of Management of Daimler Truck AG and a deadline of December 31, 2025 for achieving this goal. At the time, the Board of Management of Daimler Truck AG consisted of seven people, so it was intended that at least one woman would be represented on the Board of Management in the future. Effective February 1, 2021, Karin Rådström was appointed to the Board of Management of Daimler Truck AG. With effect as of July 1, 2021, the Board of Management of Daimler Truck AG was expanded to a total of eight members.

According to the Act to Supplement and Amend the Regulations for the Equal Participation of Women and Men in Management Positions in the Private and Public Sectors (Second Management Positions Act, FüPoG II), which entered into force on August 12, 2021, the target figures must describe the intended proportion of women on the Board of Management and correspond to full numbers of persons in the case of information in percent (Section 111 Subsection 5 Sentence 2 AktG new version). By resolution of December 10, 2021, the Supervisory Board resolved to fill at least one Board of Management position at Daimler Truck AG with a woman and to set a deadline of 31 December 2025 for this. In view of the expansion of the Executive Board to eight members, this results in a proportion of women of 12.5 %. This target was achieved as of December 31, 2021.

As of December 31, 2020, the proportion of women at the first management level below the Board of Management was 7.7 % and at the second management level 6.6 %. By resolution of November 20, 2020, the Board of Management has now set a target of 15 % for the proportion of women at both the first and second management levels below the Board of Management and a deadline for achieving this as of December 31, 2025. On December 31, 2021, the proportion of women in the first management level below the Board of Management was 11.8 % and the proportion of women in the second management level below the Board of Management was 12.3 %.
